Terms of Service

01 · The service
Situation Atlas, LLC (“Situation Atlas”, “we”) provides a data service: AI-generated summaries and structured metadata for public company filings (including SEC filings, insider transaction reports, and Japanese market disclosures), watchlists, and related storage, delivered through a web application and a JSON REST API. By creating an account or using an API key you agree to these terms.
02 · No investment advice
Situation Atlas provides data only. Nothing in the service — including AI-generated summaries, tags, significance analyses, or watchlists — is investment, financial, legal, or tax advice, and nothing constitutes a recommendation or solicitation to buy, sell, or hold any security or pursue any strategy. We are not a broker-dealer or a registered investment adviser. You are solely responsible for your decisions, which you should tailor to your own personal circumstances, objectives, and risk tolerance, with advice from your own professional advisers where appropriate.
03 · Data accuracy
The service summarizes and structures information derived from public sources. Summaries are generated by AI models and may contain errors, omissions, or delays; underlying sources control. The service is provided “as is” and “as available,” without warranties of any kind, including accuracy, completeness, timeliness, or fitness for a particular purpose. Always verify against the primary filing before relying on anything.
04 · Accounts and API keys
You are responsible for your account credentials and for all activity under your API keys. Keys are personal to your account; do not publish them. We may suspend keys that abuse the service or exceed documented rate limits.
05 · Subscriptions, trials, and billing
Paid plans are billed in advance by our payment processor (Stripe) at $399 per month or $2,999 per year (a prepaid annual discount), plus any applicable taxes. New subscriptions begin with a 7-day free trial; your payment method is charged when the trial ends unless you cancel first. Subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law. We may change pricing with at least 30 days’ notice, effective at your next renewal.
06 · Acceptable use
You may use the data within your organization and in systems and agents you operate, including analyses and derived works. You may not resell, redistribute, or republish the service’s data or summaries as a competing data product, share keys across organizations, or use the service to violate law or third-party rights.
07 · Intellectual property
The service, including its software, structure, taxonomy, and generated summaries, is owned by Situation Atlas or its licensors. Underlying public filings remain public information. We grant you a limited, non-exclusive, non-transferable licence to use the service while subscribed and in compliance with these terms.
08 · Limitation of liability
To the maximum extent permitted by law, Situation Atlas will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for trading or investment losses of any kind, arising from or related to the service. Our total aggregate liability for any claim is limited to the amounts you paid us in the twelve months before the claim arose.
09 · Termination
You may cancel at any time from your account. We may suspend or terminate accounts that breach these terms. Sections 02, 03, 07, and 08 survive termination.
10 · Changes and governing law
We may update these terms; material changes will be posted here with a new effective date, and continued use constitutes acceptance. These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
